The department

Skadden's Executive Compensation and Benefits practice has established a strong reputation advising major public and private companies, as well as their board of directors and management  on the full range of matters relating to executive and employee incentive and compensation arrangements. The team was established approximately five years ago and has year-on-year climbed the rankings in the Legal500 directory, currently ranked in Band 3. Our team brings together expertise on the corporate, commercial, employment law, regulatory and tax dynamics that shape and impact incentive arrangements, often as part of broader corporate actions. Our incentive lawyers are an inherent part of the deal team. We regularly co-ordinate advice on multinational matters, working with colleagues and local counsel globally to ensure incentives issues are resolved commercially and as part of the broader transaction. Our client base is wide, providing a great breath of work, ranging from start-ups operating EMI plans and growth share arrangements, to large publicly listed companies operating multiple all-employee plans worldwide. 

The Role

The new hire will assist our clients across all aspects of their incentive and remuneration arrangements, providing a varied mix of both transactional and standalone advisory work. From a transactional perspective, we regularly advise on the impact of mergers, takeovers, disposals, IPOs, capital raisings, financings and re-structures on employee incentive and remuneration arrangements. In an advisory capacity,  our work covers the design, implementation, management and operation of remuneration and equity-based incentive programmes (including on a global basis), and compliance with corporate governance and regulatory standards, as well as high-profile senior personnel matters (e.g., executive appointments and departures). . The new hire will join a growing incentives team, looking to build on its existing excellent reputation in the market, and be a key part of our wider employment/compensation & benefits practice. We work together with our employment, tax, corporate and regulatory colleagues on matters, and the role involves regular work alongside our US and European colleagues

Person Specification

The Incentives team is seeking a talented Associate with 2-5 years of post-qualification experience (PQE) in incentives and remuneration matters. Experience should be gained at a top-tier practice in the London market or in a similar common law jurisdiction. (Candidates with less or more relevant experience will be considered on their merits).

Key Requirements:

  • Experience ideally gained at a leading London practice
  • Experience advising on the impact of corporate transactions (mergers, takeovers, disposals, IPOs, capital raisings, financings, restructures) on employee incentive and remuneration arrangements
  • Strong background in the design, implementation, management, and day-to-day operation of remuneration and equity-based incentive programmes, including global schemes
  • Experience advising on compliance with corporate governance requirements and regulatory standards
  • Involvement in high-profile senior personnel matters, such as executive appointments and departures
  • Confident, commercially-minded, and capable of managing sophisticated clients and transactions
  • Strong analytical and problem-solving abilities
  • Excellent academic credentials and technical skills
  • Professionalism and a commitment to delivering high-quality work
