Position Overview:

We are seeking to recruit an experienced and collaborative lawyer to join the Corporate & Technology Legal team, which provides legal support on technology, outsourcing, third-party risk management, cybersecurity, data privacy, artificial intelligence, and other technology-related matters across Mizuho Americas. This role involves drafting, reviewing, and negotiating a broad range of commercial and technology agreements and providing practical legal advice on third-party vendor relationships and related emerging legal and regulatory issues. 

The ideal candidate is a strong communicator and problem solver who can work independently, manage multiple priorities in a fast-paced environment, and effectively partner with cross-functional stakeholders. The role requires sound judgment, strong negotiation and organizational skills, and an interest in staying current on evolving legal and regulatory developments impacting technology and third-party risk management.

The successful candidate will report to the Head of the Corporate and Technology Legal team and serve as a trusted legal advisor to procurement, technology, risk, and business stakeholders.

Key Responsibilities

  • Draft, review, and negotiate third-party vendor agreements, including outsourcing, cloud/SaaS, end-user license, market data, software development, professional service, service level, data processing, and non-disclosure agreements

  • Advise internal stakeholders on legal risks associated with contracting with third-party vendors, including responding to stakeholder questions regarding contract terms and related policies and procedures

  • Coordinate as necessary with subject matter experts for advice and support related to intellectual property, data privacy, cybersecurity, regulatory compliance, dispute resolution and other matters that intersect with third-party vendor contract matters

  • Support third party risk management and procurement teams as a legal subject matter expert

  • Contribute to maintenance of templates and know-how relating to sourcing and technology matters

  • Keep up to date on legal and regulatory developments regarding technology-related matters, including third party risk management, artificial intelligence, cybersecurity and data privacy/security

  • Such other matters as requested by the manager of the Corporate and Technology Legal team and/or the Chief Legal Officer

Qualifications and Experience: 

  • JD with bar admission in New York

  • 8 plus years of relevant law firm or in-house experience

  • Extensive experience negotiating complex technology and commercial contracts

  • Familiarity with legal and regulatory issues relevant to the use of technology, including outsourcing, cloud computing, artificial intelligence, cybersecurity, data privacy, and third-party risk management

  • Strong analytical skills with the ability to translate laws, rules and regulations into practical business solutions

  • Excellent written and verbal communication skills; adept at presenting legal concepts clearly to non-legal stakeholders

  • Ability to work proactively, independently, and collaboratively in a fast-paced, dynamic environment

  • High level of professionalism, integrity, and attention to detail

  • Ability to prioritize and manage multiple projects and deadlines simultaneously

The expected base salary ranges from $230,000.00 - $275,000.00. Salary offers are based on a wide range of factors including relevant skills, training, experience, education, and, where applicable, certifications and licenses obtained. Market and organizational factors are also considered. In addition to salary and a generous employee benefits package, successful candidates are eligible to receive a discretionary bonus.
