Help finance the U.S. residential mortgage marketone of the worlds largest asset classesthrough innovative, risk-managed structured credit solutions.

Job summary:
The Residential Asset-Backed Credit team within the Securitized Products Group (SPG) delivers asset-backed financing solutions to institutional and corporate clients secured by U.S. residential mortgage assets. This role is for a transactional structured finance attorney supporting the structuring and execution of complex financing transactions, partnering closely with internal stakeholders and external counterparties while proactively identifying and managing legal and execution risks.

Job responsibilities

  • Advise on and structure complex financing transactions secured by U.S. residential mortgage assets
  • Prepare and review transaction documentation, highlighting key risks and mitigants
  • Draft and analyze term sheets, indentures, mortgage repo agreements, and other relevant deal documents
  • Coordinate and communicate with internal and external counterparties throughout the transaction process
  • Advise on legal implications of business trends, emerging issues, and changes in the operating environment and strategy
  • Leverage AI tools and technology to streamline legal processes, enhance document review, and increase team efficiency
  • Required qualifications, capabilities, and skills

  • Juris Doctor (JD) degree and membership in good standing with a state Bar
  • Experience negotiating credit agreements and analyzing terms and conditions
  • Experience negotiating and closing structured finance transactions
  • Knowledge of securitization and capital markets
  • Excellent communication skills
  • Strong time management, prioritization, and multi-tasking abilities to handle multiple transactions and daily tasks
  • Preferred qualifications, capabilities, and skills

  • Experience with U.S. residential mortgage assets and/or mortgage finance structures
  • Familiarity with mortgage repo agreements and similar secured financing arrangements
  • Demonstrated ability to use legal tech/AI tools to improve contract review and execution workflows
  • Experience working with a broad set of financial sponsor and institutional client types (e.g., asset managers, private equity, hedge funds, mortgage REITs)
  • Structure and execute complex residential mortgage-backed financing transactions within the Securitized Products Group.
