Business Descriptor:

The Associate will play a critical execution role within the Investment Banking team, supporting M&A transactions, capital raising and strategic advisory mandates. The role involves financial modeling, valuation, preparation of client materials, due diligence coordination, and active participation in deal execution.

This is a high-responsibility role with direct exposure to senior bankers, clients (CXOs, promoters, PE funds), and cross-border transactions.

Key Responsibilities

1. Transaction Execution

Build and maintain detailed financial models (DCF, LBO, merger models, trading & transaction comps)

Conduct valuation analysis and financial statement analysis

Assist in preparation of pitch books, Information Memorandums (IM), management presentations, and board materials

Coordinate due diligence processes (legal, financial, tax, commercial)

Support documentation process including term sheets, SHA, SPA, offer documents

Liaise with lawyers, accountants, investors, and internal product teams

2. Sector & Market Analysis

Perform industry research and competitive benchmarking

Track sector trends, regulatory developments, and capital markets activity

Prepare internal sector notes and market updates

3. Client Interaction

Participate in client meetings and management calls

Support senior bankers in deal negotiations and structuring discussions

Manage data rooms and investor queries

4. Internal Coordination

Work closely with ECM and other product teams

Support compliance and regulatory filings (SEBI, RBI, stock exchanges)

Mentor and review work of Analysts

Qualifications

MBA from Tier-1 institutions or CA ranker

34 years of experience in Investment Banking, Big 4 Transaction Advisory, Private Equity / Corporate Finance

Technical Skills Required

Advanced financial modeling skills

Strong accounting knowledge (Ind AS / IFRS preferred)

Valuation expertise (DCF, LBO, precedent transactions)

Proficiency in Excel, PowerPoint, and financial databases (Capital IQ / Bloomberg)

Understanding of SEBI regulations and Indian Companies Act

Soft Skills

High attention to detail

Ability to manage multiple live transactions

Strong communication and presentation skills

Ability to work under tight deadlines
