Job Title: Senior Associate - Commercial Contracting

Qualification:LL. B (professional qualification)

 

The opportunity

This is an exciting opportunity to join a fast-growing team within EY GDS. Part of the GDS GCO Enablement team in India, the role requires you to work with legal/Global General Counsels Office (GCO) attorneys, and support EYs business on vendor contracts. You will provide legal support to the business and become a trusted adviser of stakeholders (often at senior leadership level). You will be expected to assess and understand how risks can be best managed and mitigated

 

Your responsibilities

Key responsibilities will include the following: 

  • Drafting, reviewing, negotiation, finalization and advisory on vendor agreements (including statements of work and terms & conditions), MSAs, framework agreements, sponsorship contracts, services contracts, and other ancillary documentation, providing risk management advice in relation to each of them.
  • Act as point of contact for EYs business/procurement teams and support the legal team.
  • Have a good understanding of general key business risks that need to be managed (training will be facilitated in respect of EYs specific risk management framework)
  • Coordinating with internal specialist functions including Independence, onshore legal teams, Security, Privacy and Risk Management
  • Maintaining an understanding of the impact of changes in EY policies, organizational structure, and procedures.

    • Ability to assess size, scope and overall risk of contemplated transactions and to tailor contracts accordingly;
    • Highly responsive with ability to manage high workload volumes efficiently and effectively;

    • Strong communication and English language (verbal and written) skills;

Experience and qualifications

  • Law Graduate/LL.B, with 2-4 years of relevant post-qualification experience in contract review, drafting and negotiation experience;
  • Knowledge of data protection (GDPR/CCPA), privacy and security terms
  • Understanding of compliance related concepts such as Independence, Conflicts.
  • Experiences in drafting and negotiating IP terms in contracts
