Position Summary
We are seeking a junior to mid-level Associate with significant US equity and debt capital markets experience, including IPOs, follow-on offerings, investment-grade and debt offerings, PIPEs, ATMs and corporate governance, to join our Capital Markets practice. This role offers the opportunity to work on a broad range of sophisticated domestic and cross-border equity and debt capital markets transactions, advising issuers, underwriters, investors and financial institutions on high-profile matters.

Duties and Accountabilities
- Advise public and private companies, underwriters and financial institutions on a wide range of capital markets transactions, including IPOs, registered follow-on and secondary offerings, SPAC IPOs, de-SPAC transactions, direct listings, private placements, PIPEs, ATM programs, investment-grade debt offerings, Rule 144A and Regulation S offerings, note programs and other securities transactions.
- Draft, review and negotiate transaction documentation, including registration statements, prospectuses, offering memoranda, underwriting agreements, purchase agreements, indentures, note purchase agreements, subscription agreements, and related ancillary documents.
- Advise on and assist in structuring debt capital markets transactions, including standalone bond offerings, liability management transactions such as tender offers and exchange offers, consent solicitations, refinancings and recapitalizations.
- Support public company clients and other frequent issuers with ongoing SEC reporting and disclosure matters, including periodic reports, current reports, proxy materials, earnings and offering-related disclosures and SEC comment responses, as well as stock exchange and indenture-related reporting obligations.
- Take ownership of key aspects of transactions, managing drafting processes and coordinating execution with partners, clients, opposing counsel and internal teams.
- Work on capital marketsadjacent M&A, leveraged finance and strategic transactions, including tender and exchange offers, acquisition financings, bridge-to-bond structures, spin-offs, divestitures, business combinations, joint ventures and strategic collaborations.
- Collaborate closely with colleagues across finance, tax, regulatory, restructuring, intellectual property and M&A practices to deliver integrated, business-focused solutions on complex equity and debt capital markets transactions.
- Develop into a trusted advisor by gaining a strong understanding of both the legal and commercial aspects of equity and debt offerings, capital structure considerations and ongoing reporting and governance matters.
Qualifications
- Juris Doctor (JD) degree (or LL.M./foreign equivalent) from an accredited law school.
- Admission to the New York Bar (or eligibility to become admitted) and in good standing.
- Approximately 2+ years of relevant law firm or in-house transactional experience.
- Experience advising on equity and/or debt capital markets transactions.
- Strong drafting, analytical and negotiation skills.
- Familiarity with SEC reporting and disclosure requirements for public companies.
- Commercial awareness and ability to see the broader business context.
- Strong communication, organization and time-management skills.
- Ability to manage multiple matters efficiently and perform well under pressure.
- Client-service oriented, collaborative and proactive.
- Driven by professional growth and long-term interest in business law.
- Fluency in English; international experience is a plus.
