Position Title: Global Filings Team Associate Counsel

Team Overview 

The Global Filings Team (GFT) provides centralized oversight and execution of statutory corporate governance filings across JPMorganChases subsidiaries and legal entities. GFT ensures compliance with jurisdictional requirements, regulatory obligations, and internal policies by supervising, monitoring, and executing timely corporate governance filings. The team collaborates with Corporate Governance Contacts (CGCs), Third-Party Vendors (TPVs), and internal stakeholders to maintain the firms legal entity status and uphold governance standards.

Position Overview

This role supports the preparation and execution of periodic and event-based corporate governance filings for the EMEA region. The candidate will coordinate with various stakeholders and TPVs to ensure the accurate and timely preparation and submission of filings with the respective Company Registrar. Responsibilities include maintaining governance tools and applications, assisting with reporting and escalation processes, and supporting technology initiatives to enhance filing execution and operational efficiency.

Key Responsibilities

  1. Filings Preparation & Delegation
    1. Monitor and track required periodic and event-based statutory filings (e.g., financial statements, annual reports, director appointments/resignations, entity name changes) for assigned legal entities.
    2. Draft filing documents and collaborate with internal teams (including Legal, Finance, Compliance, and Tax) to compile supporting documents for filings as needed. 
    3. Submit filings with Company Registrars where permitted or coordinate with respective stakeholders to complete filing submission. 
    4. Acting as delegate in the Corporate Governance Filings Application (CGFA) to maintain accurate tracking of filings status. 
    5. Manage and maintain governance tools and processes, offering guidance and training to users.
  2. Stakeholder Collaboration & Communication
    1. Act as the primary point of contact on matters related to regulatory filings.
    2. Ensure filings and other corporate governance obligations are completed on time by proactively sending reminders, monitoring deadlines, and following up with stakeholders to prevent overdue submissions.
  3. Reporting & Metrics
    1. Prepare and deliver periodic reports on filing statuses, compliance metrics, and upcoming deadlines to stakeholders and senior leadership.
    2. Understand and follow established escalation guidelines to ensure timely escalation of issues to the appropriate parties when required.
  4. Process Improvement and Operational Excellence
    1. Partner with technology to automate and streamline reports, processes, and workflows.
    2. Improve data quality by reviewing and remediating data to ensure accuracy and reliability.

 

Qualifications and Skills

  • Bachelors degree in law; interest for corporate law is highly desirable.
  • 23 years of experience in legal entities corporate governance, filings, or statutory reporting, preferably within a multinational corporate environment.
  • Exceptional English-language skills with advanced grammar proficiency and meticulous attention to detail and formatting in written communications. 
  • Proficient in MS Office, particularly Word, Excel and PowerPoint, with strong skills in Excel formulas and PowerPoint presentation creation, ensuring professional and consistent formatting and design.
  • Strong interpersonal skills, with the ability to communicate effectively and follow up proactively and frequently with stakeholders at all levels of seniority.
  • Ability to work collaboratively with cross-functional teams.
