Franklin Templeton is seeking a dynamic and results-driven Corporate Counsel to join our team in Tashkent, Uzbekistan reporting to the Senior Corporate Counsel. The successful candidate will serve as Corporate Secretary of UzNIF as the company prepares for an expected dual listing on the TSE (Tokyo Stock Exchange) and LSE (London Stock Exchange). The ideal candidate will possess comprehensive knowledge of corporate law, including proficiency in handling state authority interactions.
How you will add value?
Serve as Corporate Secretary to UzNIF's Supervisory Board and its committees, including coordinating work plans, agendas, notices, meeting materials, minutes, resolutions, and action tracking
Serve as Secretary to UzNIFs General Shareholders Meetings, including coordinating agendas, notices, meeting materials, minutes, resolutions, and action tracking
Maintain governance records and registers, and support disclosure and listing-related compliance for UzNIF's expected dual listing on the TSE and LSE, liaising with management, shareholders, regulators, and external advisers
Support the Senior Corporate Counsel in corporate and related transactions, including drafting, reviewing, and negotiating internal rules and contracts
Assist with regulatory compliance, filings, registrations, and interactions with Uzbek governmental and regulatory authorities
Prepare and review legal documentation in Uzbek, Russian, and English, ensuring accuracy and compliance with local laws and regulations
Conduct detailed legal research on Uzbek legislation, providing analyses and summaries to support legal decision-making
Provide advice on legal matters relevant to corporate governance, corporate affairs, disclosure obligations, and interactions with regulators
Assist in managing relationships with external legal advisors and stakeholders
Support the preparation and organization of Franklin Templeton participant meetings, including preparing resolutions and materials.
What will help you be successful in this role?
Experience:
Minimum of five years of experience in corporate law, preferably gained within a reputable law firm, and a dual-listed company
Demonstrated experience interacting with regulatory bodies and state authorities, including managing legal filings, disclosures and registrations
Experience in cross-border legal matters
Experience or familiarity with financial services, capital markets, investment or private equity sectors is preferred
Education & certifications:
Bachelors or Specialists Degree in Law from one of a recognized leading university
Preferences will be given to lawyers qualified to practice law in Uzbekistan. However, candidates qualified in comparable jurisdictions will also be considered
Soft Skills:
Uzbek and/or Russian professional language skills
Fluent professional proficiency in English (oral and written), Russian and preferably Uzbek with the ability to utilize legal terminology accurately
Strong organizational and time-management capabilities
Excellent analytical skills, attention to detail, and ability to manage multiple projects simultaneously
Strong interpersonal skills and ability to work collaboratively within a team-oriented environment
