You and Your Job

As a derivatives documentation specialist you will be successful if you are creative in your solutions, you work hard to get things to the finish line, and have a mindset of "how do I get to Yes".

The New York Branch Legal Department covers the Banks Markets business in the Americas, providing the necessary documentation for derivatives, securities lending, and repo transactions. The Job Holder will form part of a two-member team headed by an attorney in the New York Branch Legal Department. This position deals with the oversight, coordination, drafting, and negotiation of documentation for the derivatives-related businesses within the Markets department in the Americas. Responsibilities include negotiating and completing derivatives documentation with clients, maintaining standard form documentation and advising marketers, relationship managers, tax advisors, and credit officers throughout the negotiation process. The Job Holder is expected to act as the primary liaison and coordinator for the Americas with Head Office and other relevant Bank business centers in respect of documentation issues.

Job Responsibilities

  • Prepare and negotiate derivatives documentation (e.g. ISDA Master Agreement and Credit Support Annex) for corporate customers, banks and other financial institutions.
  • Prepare and negotiate Master Securities Loan Agreements, Repurchase Agreements, Tri-Party Custodial Agreements, Participation Agreements, and Guarantees, for all Markets derivatives products.
  • Work with internal and external counsel to develop and maintain standard documentation.
  • Advise other Rabobank Centers of Competence with respect to derivatives-related issues, including Title VII of Dodd-Frank Act and regulations thereunder.
  • Advise Markets front office, middle office and operations, relationship managers, credit officers, collateral management, and tax officers on derivatives documentation. Provide guidance on documentation implementation, policy, and changes and updates in industry practice.
  • Anticipate and identify key issues and clearly and efficiently communicate to credit officers and marketers to permit execution of transactions while at the same time protecting the Bank.

  • JD or LLM and admitted to the New York bar (or passed the New York bar and pending for admission)
  • Ability to travel regionally up to 15%
  • Legally authorized to work in the United States on a full-time basis.  Rabobank is unable to sponsor or take over sponsorship of an employment visa for this position.

Salary Expectations:

Target Hiring Range: $120,000.00 - $140,000.00

This position is subject to the terms of [RAF/Rabobank/RDS]s compensation plans and policies. It is anticipated that the position will pay within the target hiring range. The range is reflective of the desired primary physical work location and may be adjusted outside of the projected range based on geographical differentiation if the actual work location of the hired candidate differs from the desired primary location, or for other lawful reasons. Further, all full-time regular positions include all other benefits provided to [RAF/Rabobank/RDS] employees, including healthcare benefits, 401k matching, vacation, sick leave, parental leave, possible discretionary bonuses and all other benefits that are all governed by and subject to ERISA plan documents and eligibility.
