Department Profile:

Morgan Stanley’s fixed income structured notes and repack business in London is looking to recruit an experienced lawyer to join its transaction management team to assist with the legal structuring and execution of credit, rates, bond and commodity linked products issued by both Morgan Stanley and special purpose repack vehicles. This is an on-desk role, which will put the individual at the forefront of the structuring and documentation of structured note and bond repack transactions. It is a varied and exciting role with plenty of scope to develop within a busy and growing team. This role will include working with sales, trading, treasury, tax and legal functions to help structure and execute transactions.

Primary Responsibilities:

Main responsibilities include:

  • Preparing and reviewing term sheets
  • Advising on the structure of transactions taking into account legal, regulatory, tax and other considerations
  • Acting as a central trade contact accountable for collaboration across front office (treasury, sales, trading) and support functions (operations, legal, compliance, tax) to execute transactions and monitor and govern the business
  • Creating efficiencies (e.g. developing template documentation and initiating and overseeing automation solutions, optimising procedures, streamlining approvals processes).
  • Liaising with external counsel to prepare transaction documentation.

Skills Required:

  • At least 5+ PQE City or equivalent legal experience with a major law firm or investment bank
  • Knowledge of structured notes, OTC derivative products and structured products programmes
  • Commercially driven with ability to adapt to varied and challenging workload
