Leveraged Finance Lawyer - Senior Associate/Managing Associate - 3PQE+, London

PURPOSE OF THE ROLE
   As part of our on-going growth strategy, we are looking for a Senior Associate or Managing Associate to join our Leveraged Finance Team in London. The team is one of the most active teams in the mid-market leveraged finance space and is looking to expand due to client demand.
   Join our team who have significant experience across a range of private equity debt financing transactions for both lender and private equity sponsor clients, and advise credit funds, direct lenders, banks, private equity sponsors and portfolio businesses on senior debt facilities, second lien, unitranche facilities, TLB, first out/last out and super senior facilities. 
   We have a reputation for delivering on transactions and are respected and sought out for our market knowledge on both deals and new lending products in the leveraged finance market. We have a strong and reliable team with a bench strength at partner level and below that ensures we can be relied upon to deliver.
   You can expect high quality work with the principal players in the market. We have remained extremely active over the last few years acting on leading transactions.

THE TEAM
   This role will be primarily working with leveraged finance loan partners, Alex Dumphy and Ewen Scott in London and will involve collaboration with Private Equity team and their clients as well. 
   We advise banks, private credit funds and other lenders, sponsors and portfolio companies on all aspects of financing transactions from origination, negotiation and documentation to closing. As a firm, we are noted for our expertise in leveraged and acquisition finance, especially advising on bespoke complex transactions.

Recent experience includes:
o    Acting for Clydesdale Bank plc and AIB Group in respect of the financing of an MBO backed by Graphite Private Equity
o    Advising Barings in relation to facilities in relation to the MBO of a water pump manufacturing company
o    Acting for Alcentra on unitrance facilities to support the ECI backed MBO of Clear Investments
o    Advising on club facilities to support Inflexion's investment in Radius
o    Acting for Tosca Debt Capital on a second lien term facility to support the acquisition of a consumer healthcare business


WHAT TO EXPECT IN THIS ROLE
   Advising clients on a variety of transactions, with a particular focus on leveraged and acquisition finance.  You will work in a collegiate and supportive environment and can expect a good variety of work and high quality of training.
   Developing relationships with clients including gaining a good knowledge of the client's businesses, economic drivers, market and sector requirements to ensure advice is relevant and commercial.
   Engaging in business development activities and being active in the promotion of the firm and seeking opportunities for new work.
   Working as part of a team including assisting with the supervision of junior lawyers' work, and taking an active part in sharing knowledge and experience with the team.
   There are opportunities for secondments with clients.  
   A thorough on-boarding process and a clear roadmap of your future progression and development.

YOUR AREAS OF KNOWLEDGE AND EXPERTISE 
   Qualified Solicitor with at least 3 years PQE experience in leveraged finance and leading on private equity-backed transactions
   Experience acting on UK and or European mid-market financings
   Familiarity with managing transactions, in particular facility agreements, term sheets, commitment papers and intercreditor arrangements on leveraged finance transactions.
   Initiative and proactive approach with strong service orientation - a "client first" culture
   Ability to work well and collegially in a team 
   Commerciality and demonstrable business development experience
